PLEASE READ THESE OFFICIAL RULES ("RULES") CAREFULLY. BY CLICKING “SUBMIT” OR OTHERWISE SHARING ANY INFORMATION OR PITCH MATERIALS (COLLECTIVELY “MATERIALS”) TO THE PITCH COMPETITION SPONSORED BY GUNDERSON DETTMER STOUGH VILLENEUVE FRANKLIN & HACHIGIAN, LLP “GDSVF&H”, AND SUCH COMPETITION, THE “COMPETITION”) IN PARTNERSHIP WITH ALPHA EDISON MANAGEMENT COMPANY, L.L.C. (“AE” AND TOGETHER WITH GDSVF&H, “SPONSOR”), YOU (“ENTRANT”) AGREE TO BE BOUND BY THESE RULES. IF YOU ARE SUBMITTING MATERIALS ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE RULES AND ANY FURTHER REFERENCES TO “YOU” HEREIN SHALL ALSO INCLUDE THAT ENTITY. IF YOU DO NOT AGREE TO THESE RULES, DO NOT SUBMIT AN ENTRY.

1. NO PURCHASE NECESSARY No purchase or payment is required to enter or win. A new or existing engagement with GDSVF&H or investment relationship with AE does not increase your chances of winning. Competition is void where prohibited or restricted by law, or where registration, bonding, or other requirements have not been met, or where the methods of entry described would be deemed consideration. All applicable federal, state, and local laws apply. Sponsor may reject any participation at its sole discretion if eligibility requirements are not met.

2. ELIGIBILITY Entrants must be legal residents of the 50 United States or District of Columbia, 18 years of age or older at the time of entry. Employees, officers, and directors of Sponsor, its related entities, agencies involved with execution or administration of the Competition, and their respective immediate family (spouse, parents, siblings, and children) and household members are not eligible.

3. COMPETITION PERIOD The Competition will take place on October 14, 2025 from 5 p.m. – 9 p.m. Pacific Time ("Competition Period").

4. HOW TO ENTER & AGREEMENT TO RULES

   • By submitting materials through the competition entry portal (the “Portal”) and clicking "submit," you (“Entrant”) agree to these Rules and to Sponsor’s decisions, which are final and binding on all matters related to the Competition.
   • Entry is triggered at the moment of submission; no other action is required.

5. WINNER SELECTION

   • Each Entrant’s submission will be reviewed by GDSVF&H or AE. Ten (10) quarter- finalists ( “Quarter-Finalists”) will be selected from all Entrants based on materials submitted through the Portal, in Sponsor’s sole discretion. Quarter-Finalists will be eligible to participate in a networking event prior to the Competition (“Quarter-Final Networking”) hosted by GDSVF&H which may be attended by GDSVF&H, one or more Los Angeles based venture capital firms, and certain selected vendors, in Sponsor’s sole discretion. The time and place of the Quarter-Final Networking will occur at the time and place of the Sponsor’s choosing.
   • Semi-finalists (“Semi-Finalists”) will be selected from the Quarter-Finalists in Sponsor’s sole discretion to participate in the Competition during the Competition Period.
   • Each Semi-Finalist will have an allotted time to pitch their business to a judging panel comprised of (1) representative from AE and up to (3) representatives from venture funds (the “Panel”).
   • The Panel will deliberate and select a winner (the “Winner”) in the Panel’s sole discretion.
   • The Panel’s decisions are final in all matters.
   • The Winner will be announced at the end of the Competition Period. Sponsor may notify the Winner by alternative means at its discretion.
   • To claim the Prize (defined below), the winner must execute and return all required documentation (e.g., affidavit of eligibility, publicity and liability releases) within twenty-four (24) hours after the Competition ends. Failure to comply or establish eligibility may result in forfeiture, and an alternate winner may be selected at Sponsor’s sole discretion.

6. PRIZE The Winner will receive at least:

   • A fixed dollar amount of discount on legal services to be provided by GDSVF&H in accordance with the terms set forth in an engagement letter to be entered into by and between Winner and GDSVF&H (the “Prize”). Sponsor may, in its sole discretion, but is not required to, elect to add additional prizes, in which case such additional prizes are hereby incorporated into the definition of the Prize.

   The Prize is non-transferable and not redeemable for cash. Sponsor reserves the right to substitute a prize of equal or greater value. The Winner is solely responsible for taxes and any additional expenses.

7. PUBLICITY GRANT

By accepting the Prize, you grant Sponsor and its designees the right to use your name, trademark, logo, city/state, image, likeness, voice, website URL and entry information for advertising, trade, and other promotional purposes, without further consideration or compensation, in any media worldwide, in perpetuity, to the maximum extent permitted by law.

1. GENERAL CONDITIONS AND RELEASES

   • The Materials and any other information You provide in connection with the Competition shall not be deemed to be your confidential information. You understand that Sponsor, the Panel, and any organization represented on the Panel or otherwise connected with the Competition (collectively, the “Competition Entities”) shall not be bound by any duty of confidentiality, non-use, or any other restriction with respect to the Materials or any other information You provide in connection with the Competition.
   • Neither the submission of Materials or entrance into or participation in the Competition creates any form of attorney-client relationship between You and GDSVF&H, nor does it create any obligation on any member of the Panel or any Competition Entity to make any investment into You.
   • The Winner may be required to complete tax paperwork and furnish proof of company formation (including any Articles of Incorporation or similar documentation), headquarters location and any information provided as part of the Winner’s submission.
   • The Competition Entities and each of their affiliates, partners, vendors, officers, employees, and agents (“Released Parties”) are not responsible for lost, delayed, misdirected, incomplete, or corrupted submissions or other technical errors; or for any injury or damage to Entrants or any other person related to or resulting from participation in the Competition.
   • Sponsor and/or the Panel may disqualify anyone who tampers with competition processes or acts in an unsportsmanlike or disruptive manner.
   • Sponsor reserves the right to suspend, modify, or terminate the Competition in the event of fraud, technical failure, or other factors beyond Sponsor’s reasonable control affecting the integrity of the Competition.
   • By agreeing to these Rules, You agree to and hereby do release and hold harmless the Competition Entities and each of their respective parents, subsidiaries and affiliated entities, directors, officers, employees, attorneys, agents, and representatives from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) that may arise from your acceptance, possession and/or use of the Prize or your participation in this Competition, or from any misuse or malfunction of the Prize awarded, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

2. DISCLAIMER; LIMITATION OF LIABILITY PRIZES ARE AWARDED “AS IS.” NONE OF THE COMPETITION ENTITIES MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, AND EACH COMPETITION ENTITY HEREBY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TO THE EXTENT PERMITTED BY LAW, NONE OF THE COMPETITION ENTITIES SHALL BE LIABLE TO YOU OR TO ANYONE ELSE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOSS OF DATA, OR COSTS OF SUBSTITUTE GOODS OR SERVICES.

3. WINNER LIST/RULES REQUEST

11. DISPUTE RESOLUTION The Competition is governed by California law, without regard to conflict of laws. Any dispute shall be resolved exclusively by binding arbitration in Los Angeles County, California under the JAMS Streamlined Arbitration Rules and Procedures. Either party may seek equitable relief in any competent court.

12. MISCELLANEOUS You and Sponsor agree that these Rules are the complete and exclusive statement of the mutual understanding between You and Sponsor, and that these Rules supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Rules. Sponsor may modify these Rules at any time and in its sole discretion. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venturer of Sponsor, and you do not have any authority of any kind to bind Sponsor in any respect whatsoever. The failure of either You or Sponsor to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Rules are found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Rules shall otherwise remain in full force and effect and enforceable.
